TERMS & CONDITIONS

1. Introduction

1.1 These Terms and Conditions (Terms) govern access to and use of the Workcore Australia website and the purchase of any products from Workcore Australia (Workcore, we, us, our).​
1.2 Workcore is operated by VEGANIC SKN PTY LTD (ABN 53 142 515 437), an Australian private company registered in Queensland with a principal business location at 243 Milton Road, Milton QLD 4064.​​
1.3 Workcore trades as a B2B wholesale supplier of personal protective equipment (PPE), currently focused on private label sunscreen and related sun-protection products marketed under brands including Eco Zinc and Reef Safe Australia (Products).​​
1.4 By creating an account, placing an order, or otherwise using this website, the customer (Customer, you, your) agrees to be bound by these Terms.​

2. Business customers and eligibility

2.1 This website is intended for business, trade and organisational customers only, including employers procuring PPE for workers and approved resellers.​
2.2 By registering or ordering, you warrant that you are acquiring Products solely for business or commercial purposes and that you have authority to bind the business or organisation you represent.​

3. Accounts, information and website use

3.1 To place wholesale orders you may need to create a Workcore account and provide accurate, complete and current information including your legal entity name, ABN, billing and delivery details and contact information.​
3.2 You are responsible for keeping your login credentials secure and for all activities undertaken through your account; Workcore is entitled to rely on any order placed through your account as authorised by you.​
3.3 You must not misuse the website (including by introducing malware, scraping, overloading or attempting to circumvent security) or use it for any unlawful, misleading or unauthorised purpose.​

4. Product information, PPE and sunscreen disclaimer

4.1 Product descriptions, specifications, regulatory claims and safety information on the website are provided in good faith and may change without notice; you must review the current labels, product datasheets and safety information before use or resale.​
4.2 Sunscreen and other PPE must be used strictly in accordance with the directions for use on the label, Safety Data Sheets (SDS) and applicable workplace safety procedures; Workcore does not provide medical advice and does not warrant suitability for any specific worker, environment or application.​
4.3 You are responsible for ensuring that Products are appropriate for your intended purpose and that procurement, storage, marketing and use comply with all applicable laws, regulations and standards, including workplace health and safety laws, TGA requirements for therapeutic sunscreens and any industry-specific PPE obligations.​​

5. Orders, acceptance and pricing

5.1 Website listings, catalogues, price lists or quotations are invitations to treat only and not binding offers; your submitted order constitutes an offer to purchase Products under these Terms.​
5.2 A contract is formed only when Workcore issues written order confirmation, issues a tax invoice, or dispatches the Products, whichever occurs first; Workcore may accept or reject any order (in whole or part) at its discretion, including based on credit, stock availability or regulatory constraints.​​
5.3 Prices are in Australian dollars and, unless expressly stated otherwise, exclude GST, freight, insurance, duties and other charges, which will be added at checkout or invoicing.​
5.4 Workcore may change prices, minimum order quantities and ordering requirements at any time; variations do not affect orders already accepted.​

6. Payment terms

6.1 Unless a credit facility is approved in writing, all orders must be paid in full before production, dispatch or collection, using the payment methods specified at checkout or on invoice.​
6.2 For approved credit customers, payment is due within the period stated in Workcore’s credit approval or invoice; if no period is specified, payment is due within 30 days from the end of the month of the invoice date.​
6.3 If you fail to pay any amount by the due date, Workcore may charge interest on overdue amounts at a reasonable commercial rate, suspend or cancel outstanding orders, withhold further supply, and recover all collection costs including legal expenses on a solicitor–client basis.​

7. Title, risk and delivery

7.1 Risk in the Products passes to you when Products are delivered to your nominated address, your carrier, or are otherwise made available for collection as specified in the order confirmation.​​
7.2 Title to Products remains with VEGANIC SKN PTY LTD until Workcore receives full cleared payment for the Products and all other sums owing by you.​​
7.3 Until title passes, you must store Products separately in a way that clearly identifies them as Workcore’s property, keep them in good condition and not encumber them; you may use or resell them only in the ordinary course of your business.​​
7.4 Any delivery dates are estimates only; time is not of the essence and Workcore is not liable for delay or failure to deliver caused by events beyond its reasonable control, including supply chain issues, transport disruption, or regulatory actions.​​

8. Inspection, shortages and returns

8.1 You must inspect Products promptly on delivery or collection and notify Workcore in writing of any apparent damage, defect, shortage or incorrect supply within five (5) Business Days; if you do not, the Products are deemed accepted.​​
8.2 Claims for loss or damage in transit must be made to the carrier where you arranged transport; where Workcore arranged delivery, Workcore will reasonably assist you to lodge any claim in accordance with the carrier’s terms.​​
8.3 To the extent permitted by law and subject to clause 9, Workcore does not accept returns of change‑of‑mind, over‑ordered, opened or used sunscreen or PPE; any authorised returns are subject to Workcore’s returns procedure and may be subject to handling or restocking fees.​​

9. Regulatory recalls and product safety

9.1 If the TGA, a workplace safety authority or other competent regulator issues a recall, safety alert or similar directive relating to the Products, Workcore will comply with applicable legal requirements and notify affected customers where required.​​
9.2 In the case of a regulator‑mandated or Workcore‑initiated recall of Products manufactured or supplied by Workcore, Workcore’s liability is limited, at its option, to refund of the purchase price (excluding freight) or replacement of the affected Products, subject to any non‑excludable statutory rights.​​

10. Sunscreen manufacturing and private label

10.1 Products may be manufactured by or through VEGANIC SKN PTY LTD or related entities under TGA/FDA‑compliant processes and private label arrangements (including Eco Zinc and Reef Safe Australia lines), in accordance with the applicable manufacturing agreements and product specifications.​​
10.2 Where you supply your own artwork, trademarks or packaging for private‑label or co‑branded Products, you are solely responsible for ensuring that all such materials comply with applicable labelling, advertising, IP and regulatory requirements in each market where Products are sold.​
10.3 You indemnify and hold harmless Workcore, VEGANIC SKN PTY LTD and related entities from all claims, losses, damages and costs arising out of or related to your supplied trademarks, artwork or packaging, including any allegation of IP infringement or non‑compliant labelling or advertising.​​

11. Warranties and liability

11.1 Except as expressly set out in these Terms and any written product warranty, and to the maximum extent permitted by law, all other terms, warranties and conditions (whether express, implied, statutory or otherwise) relating to the Products or website are excluded.​
11.2 Where the Australian Consumer Law or similar legislation implies non‑excludable guarantees that apply to the supply of Products, Workcore’s liability is limited, at its option, to replacement of the Products, supply of equivalent goods, or payment of the cost of replacement or supply of equivalent goods.​
11.3 Workcore is not liable for any indirect, incidental, special or consequential loss, loss of profit, loss of revenue, loss of opportunity or loss resulting from failure to follow instructions, improper storage, misuse, or failure to implement adequate workplace sun‑protection or PPE policies.​​

12. Intellectual property

12.1 All intellectual property in or relating to the website, branding, marketing materials, formulations and Products (including trademarks, logos, designs, text, graphics and software) is owned or licensed by VEGANIC SKN PTY LTD or its licensors and remains their exclusive property.​​
12.2 You must not use Workcore’s or its brands’ names, trademarks, images or marketing materials in any misleading, defamatory or unlawful manner or in a way that suggests an affiliation or endorsement that does not exist.​

13. Customer trademarks and branding

13.1 If Workcore or its manufacturing partners apply your trademarks, logos or other brand elements to Products or packaging, you warrant that you hold all necessary rights and permissions and that such use does not infringe any third‑party rights.​
13.2 You indemnify, defend and hold harmless Workcore, VEGANIC SKN PTY LTD and their officers, employees and agents against all claims, damages, losses and expenses (including legal costs) arising from or connected with any allegation that use of your trademarks or branding infringes third‑party rights or breaches applicable laws.​

14. Force majeure

14.1 Workcore is not liable for any delay or failure to perform its obligations (including delivery) caused by events beyond its reasonable control, such as acts of God, pandemic, government restrictions, labour disputes, transport disruption, raw‑material shortages or regulatory action.​​
14.2 If a force majeure event continues for more than 60 days, either party may terminate the affected order(s) by written notice, with no liability other than payment of amounts already due for Products supplied.​

15. Suspension and termination

15.1 Workcore may suspend or terminate your account or any order immediately by written notice if you fail to pay on time, breach these Terms, or become insolvent or subject to external administration.​​
15.2 Termination does not affect accrued rights or obligations; clauses that are intended to survive (including those relating to payment, title, IP, confidentiality, indemnities and limitation of liability) continue in force after termination or expiry.​​

16. Privacy

16.1 Workcore collects, uses and discloses personal information in accordance with its Privacy Policy (as updated from time to time), which is incorporated into these Terms and available on the website.​
16.2 By using the website or placing an order, you consent to Workcore handling personal information as described in the Privacy Policy, including for account administration, order fulfilment, regulatory compliance and marketing communications (subject to your opt‑out rights).​

17. Governing law and jurisdiction

17.1 These Terms are governed by the laws of Queensland, Australia.​
17.2 Each party submits to the non‑exclusive jurisdiction of the courts of Queensland and the Commonwealth of Australia and waives any objection to proceedings being brought in those courts.​

18. General

18.1 If any provision of these Terms is held invalid or unenforceable, it will be severed and the remaining provisions will continue in full force and effect.​
18.2 Workcore may amend these Terms at any time by posting an updated version on the website; the updated Terms apply to all use of the website and orders placed after the effective date stated.​
18.3 No failure or delay by Workcore in exercising any right or remedy under these Terms constitutes a waiver; a single or partial exercise does not prevent further exercise of that or any other right.​
